Scope of These Terms and How You Accept Them

04 · Fees
Fees, Invoicing and Payment
Retainer fees are invoiced monthly in advance and are due within the payment period stated on the invoice.
Fees are quoted in Indian Rupees and exclude GST, which is added at the applicable rate. One-time deliverables such as websites, brochures or 3D creative are invoiced in milestones described in the proposal.
If an invoice remains unpaid after the due date we may pause work and campaign management until payment is received. Disputes about an invoice must be raised in writing within 7 days of the invoice date. Our Refund Policy explains when fees can be refunded.
05 · Media spend
Advertising Spend and Platform Accounts
Advertising spend on Google, Meta and other platforms is paid by you directly to the platform from ad accounts held in your name.
Our management fee does not include media spend. We set up or work inside your Google Ads, Meta Business Manager, analytics and CRM accounts so that you retain ownership of the accounts, data and campaign history at all times.
Platforms apply their own advertising policies and may reject, pause or restrict ads. We work to resolve such issues but cannot control platform decisions, and media spend already incurred is not refundable by us.
06 · Intellectual property
Ownership of Work and Content
Once the related invoices are paid in full, you own the final deliverables we create for you, such as landing pages, ad creatives, brochures and videos.
We retain ownership of our methods, templates, frameworks, tools and any pre-existing material, and we may reuse general know-how on other engagements. We may show your project name and non-confidential creative in our portfolio unless you ask us in writing not to.
You grant us a licence to use your brand assets for the purpose of delivering the services, and you confirm that you hold the rights to the material you supply.
07 · Confidentiality and liability
Confidentiality, Results and Limitation of Liability
Both sides keep the other’s business information confidential, and our liability for any engagement is limited to the fees you paid us in the three months before the claim.
We treat your pricing, inventory, lead data and campaign performance as confidential and share it only with the team working on your account. You treat our proposals, pricing and methods as confidential.
Marketing results depend on your project, pricing, market conditions, platform behaviour and your sales follow-up. We do not guarantee a specific number of leads, site visits, bookings, rankings or cost per lead. We are not liable for indirect losses such as lost sales, lost profit or reputational harm, or for the actions of third-party platforms.
08 · Term and law
Term, Termination, Governing Law and Changes
Retainer engagements begin with a 90-day initial cycle and then continue month to month; either side may end the engagement with 30 days’ written notice.
We may end an engagement immediately if invoices remain unpaid after reminders, if you ask us to publish claims that breach advertising or real estate law, or if you act abusively towards our team. On termination we hand over account access, assets and final reports once outstanding invoices are settled.
These terms are governed by the laws of India. Courts in Hyderabad, Telangana have exclusive jurisdiction over any dispute, which both sides will first try to resolve through good-faith discussion. Terms FAQ
Questions About Our Terms and Conditions
Is there a minimum contract period?
Retainers start with a 90-day initial cycle, which gives a campaign time for learning, launch and optimisation. After that the engagement continues month to month and either side can end it with 30 days’ written notice.
Do your fees include the advertising budget?
No. Media spend on Google, Meta and other platforms is paid by you directly to the platform from ad accounts in your name. Our fee covers strategy, setup, management, creative and reporting as described in your proposal.
Who owns the ad accounts, website and leads?
You do. We work inside accounts held in your name, and every lead, campaign and piece of data stays with you when the engagement ends.
Do you guarantee a number of leads or site visits?
No. We set target ranges in the proposal based on your project and budget, and we report against them every month, but results depend on factors outside our control such as pricing, market demand and your sales follow-up.
What happens if an invoice is paid late?
We send reminders first. If an invoice stays unpaid after the due date we may pause work and campaign management until it is settled. Disputes should be raised in writing within 7 days of the invoice date.
Can I use the creatives you made after we stop working together?
Yes. Once the related invoices are paid, you own the final deliverables such as creatives, landing pages, brochures and videos. Our internal templates and methods remain ours.
What if a platform rejects or restricts my ads?
We handle appeals and adjust creatives to meet platform policies, but platform decisions are outside our control. Media spend already incurred is not refundable by us.
Which law applies if there is a dispute?
Indian law applies and the courts of Hyderabad, Telangana have exclusive jurisdiction. Both sides agree to try to resolve any dispute through discussion first.
